Acceptance of these terms

These terms of use (the "terms") govern access to and use of the Fletch Training platform, provided by Fletch Labs Inc. ("Fletch Labs", "we", "us"). By accessing or using the platform, you agree to these terms. If you use the platform on behalf of an organization, you agree to these terms on its behalf.

The service

The platform lets organizations publish curricula — courses of text, video, and quiz modules — assign them to learners, track completion, and issue certificates. Fletch Labs provides the platform itself; organizations provide their training content and administer their own members. In some cases, Fletch Labs also publishes its own courses and offers them through the platform.

Accounts and membership

Access requires an account. Sign-in is handled by Kinde, a third-party identity provider, so your password and other sign-in credentials stay with Kinde — we do not see or store them. You are responsible for the accuracy of your account information and for keeping your identity provider account secure.

Organization administrators manage membership, roles, and enrollment in their organization, including removing members. Membership also ends when an account is deleted, at which point personal information is anonymized.

You can request deletion of your account and the personal information we hold about you from your account settings. Our privacy statement explains what is removed and what is retained when a deletion is approved.

Acceptable use

You agree not to use the platform to break the law or these terms; to probe, scan, or disrupt the platform or its infrastructure; to scrape or harvest data without permission; or to share your account access with others.

You agree not to upload content you do not have the rights to use. We may suspend or terminate access that violates these terms.

Organizations' responsibilities

Organizations are responsible for the content they publish, for the lawfulness of their training programs, for their members' use of the platform, and for handling any personal information they collect through their use of the platform.

Intellectual property

Organizations keep all rights to the content they create and publish on the platform. Fletch Labs owns the platform and all rights in it, including any courses it publishes on the platform. Subject to these terms, we grant you a limited, non-exclusive, non-transferable right to use the platform for its intended purpose.

Where Fletch Labs offers its own courses through the platform, they are provided under these terms and remain Fletch Labs' property; using them does not transfer any rights to you or your organization.

Availability and changes

We aim for reliable availability but do not promise uninterrupted service. We may add, change, or discontinue features, and we may modify these terms; if a change is material we will notify you. Continuing to use the platform after a change means you accept the updated terms.

Disclaimers and limitation of liability

The platform is provided "as is" and "as available" without warranties of any kind, to the fullest extent permitted by law.

To the maximum extent permitted by applicable law, Fletch Labs is not liable for indirect, incidental, special, or consequential damages, or for lost profits or data, arising from your use of the platform. Nothing in these terms limits liability that cannot be limited by law.

Termination

We may suspend or terminate accounts or organizations that violate these terms or the law. Organizations may stop using the platform at any time. Provisions that should reasonably survive termination — such as intellectual property and disclaimers — do so.

Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada, and the courts of the Province of Ontario have exclusive jurisdiction over any dispute relating to them.
